Terms of Service

1. Eligibility & acceptance

You must be at least eighteen (18) years old (or the age of majority in your jurisdiction, whichever is higher) and have the legal capacity to enter into a binding contract. By using the Services you represent and warrant that you meet these requirements and that all information you provide is accurate, current, and complete. If you use the Services on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.

2. Definitions

• Wallet — the stored-value balance in your account used to pay for Services.
• Order — a request you submit for a social media marketing service or a marketplace purchase.
• Supplier — an independent third-party provider that fulfils social media marketing services routed through the platform.
• Marketplace — the section of the Services where digital assets, social media accounts, and related items are listed for sale by us or by approved partners.
• Digital Asset — any digital good, including but not limited to social media accounts, channels, pages, usernames, licences, or downloadable items.
• Content — any text, links, comments, media, or other material you submit, including custom comment campaigns.

3. The Services

Sure Boost is a mobile-first marketplace that (a) provides access to curated social media marketing ("SMM") services fulfilled by independent Suppliers; (b) operates a Marketplace for digital assets and related items; (c) provides a Wallet for funding and paying for the foregoing; and (d) provides order tracking, notifications, and support tooling. We may add, modify, suspend, or discontinue any part of the Services at any time without liability.

We act as an intermediary and technology platform. Except where we are expressly identified as the seller of a Marketplace item, we do not manufacture, own, or control the underlying services or assets and do not guarantee any specific result.

4. Accounts & security

You are responsible for safeguarding your login credentials and for all activity that occurs under your account. You must keep your contact details and (where requested) verification information accurate. Notify us immediately of any unauthorised use. We are not liable for any loss arising from your failure to secure your account. We may require email or identity verification and may refuse, suspend, or terminate accounts at our discretion, including for suspected fraud, abuse, or breach of these Terms.

5. No affiliation with social platforms

Sure Boost is not affiliated with, endorsed by, or sponsored by Instagram, TikTok, YouTube, Facebook, X (Twitter), Telegram, WhatsApp, Spotify, or any other platform. All product and platform names are trademarks of their respective owners. The Services may interact with such platforms, but those platforms operate independently and may change their rules, algorithms, or enforcement at any time.

6. Wallet, pricing & payments

• Funding. You may fund your Wallet using the payment methods we make available, which may include card/bank payments, cryptocurrency deposits processed by third-party gateways, and manual bank transfers subject to approval.
• Store credit. Wallet balances are prepaid store credit denominated in the currency we display. They are not a bank deposit, e-money, or investment, earn no interest, and have no cash value beyond their use to purchase Services, except where a non-waivable law requires otherwise.
• Pricing & currency. Prices are set by us and may change at any time. Where we display amounts in a local currency, conversion is performed at rates we set, which may differ from interbank rates. You are responsible for any taxes, bank fees, network/miner fees, or charges imposed by your payment provider.
• Crypto deposits. Cryptocurrency is volatile and transactions are irreversible. You are responsible for sending the correct asset on the correct network to the address shown. We credit the value actually received after network confirmations; we are not liable for funds sent to the wrong address, on the wrong network, or below applicable minimums.
• Crypto legality is your responsibility. The legal status of cryptocurrency varies across African and other jurisdictions. You are solely responsible for ensuring that funding your Wallet with cryptocurrency is lawful where you live. Cryptocurrency is accepted only as a means of paying for the Services and is not offered or held by us as an investment.
• Taxes. Unless stated otherwise, prices may exclude applicable taxes, levies, or duties (for example value-added tax). Where we are required by law to collect a tax (such as VAT on digital services), it may be added at checkout. You are responsible for any taxes arising from your own use of the Services or income you earn through them, including any seller earnings, in your jurisdiction.
• Authorisation. By funding your Wallet you authorise us and our payment partners to process the transaction. You represent that you are the lawful owner of the payment instrument used.

7. Orders & service delivery

• Estimates only. Delivery times, start times, drip schedules, and quantities are estimates provided by Suppliers and are not guaranteed. Start counts, "remaining" counters, and progress shown in the app reflect data reported by the Supplier and may be delayed or imprecise.
• Accuracy of details. You are responsible for providing a correct, public, and valid link/target and order parameters. We cannot refund or correct orders that fail because the target was private, removed, renamed, ineligible, or incorrectly entered.
• Drops & refills. Social platforms may remove engagement over time ("drops"). Refills or guarantees apply only where expressly stated for a specific service and within the stated window.
• Partial / failed orders. Where an order is partially delivered or fails, remedies are governed by our Refund & Dispute Policy.
• Custom comments & user content. You are solely responsible for the legality and appropriateness of any custom comments or content you submit, and you grant us and the relevant Supplier a licence to process and transmit it for fulfilment.
• Cancellations. Once an order is sent to a Supplier it generally cannot be cancelled. We may, at our discretion, cancel and refund an order to your Wallet if it cannot be fulfilled.

8. Marketplace & digital assets

Purchases and sales of Digital Assets are additionally governed by our Marketplace & Digital Asset Terms, which contain important risk disclosures. Digital Assets are sold on an "as is" and "as available" basis. To the maximum extent permitted by law, we do not guarantee the continued availability, platform-compliance, monetisation eligibility, authenticity of metrics, or longevity of any account or asset, and you assume all risk associated with acquiring and operating it.

9. Refunds

All refunds are governed by our Refund & Dispute Policy. Unless a non-waivable law requires otherwise, eligible refunds are issued as Wallet credit rather than to the original payment method.

10. Acceptable use

Your use of the Services must comply with our Acceptable Use Policy. Violation may result in immediate suspension or termination and forfeiture of pending orders, without refund where permitted by law.

11. Intellectual property

The Services, including all software, text, graphics, logos, and design, are owned by or licensed to Sure Boost and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services for their intended purpose. You may not copy, modify, reverse engineer, scrape, resell, or create derivative works from the Services except as permitted by law. You retain ownership of Content you submit and grant us a worldwide, royalty-free licence to host, process, and transmit it to operate the Services.

12. Third-party services

The Services rely on and link to third parties (Suppliers, payment processors, cryptocurrency gateways, social platforms, and others). Your use of those third parties may be subject to their own terms, and we are not responsible for their acts, omissions, availability, fees, or content.

13. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES, INCLUDING ALL SMM SERVICES AND DIGITAL ASSETS, ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT ANY SERVICE WILL ACHIEVE ANY PARTICULAR RESULT, REMAIN AVAILABLE, OR COMPLY WITH THE RULES OF ANY THIRD-PARTY PLATFORM.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SURE BOOST, ITS OWNERS, DIRECTORS, EMPLOYEES, AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, FOLLOWERS, ACCOUNTS, OR THE SUSPENSION, BANNING, OR DEPLATFORMING OF ANY ACCOUNT BY A THIRD-PARTY PLATFORM, ARISING OUT OF OR RELATED TO THE SERVICES, WHETHER BASED ON CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US FOR THE SPECIFIC TRANSACTION GIVING RISE TO THE CLAIM, OR (B) THE TOTAL FEES YOU PAID TO US IN THE THIRTY (30) DAYS BEFORE THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

Your statutory consumer rights

Nothing in these Terms excludes, restricts, or modifies any guarantee, right, or remedy that you have under mandatory consumer-protection or other laws that cannot lawfully be excluded — for example, in Nigeria, the Federal Competition and Consumer Protection Act 2018, and equivalent consumer laws in Ghana, Kenya, South Africa, and other countries. Where any limitation in these Terms is not permitted by such law, that limitation applies only to the extent permitted, and your statutory rights prevail.

15. Indemnification

You agree to defend, indemnify, and hold harmless Sure Boost and its owners, directors, employees, and partners from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to (a) your use of the Services; (b) your Content or order targets; (c) your violation of these Terms or any law; or (d) your infringement of any third party's rights, including any social platform's terms.

16. Suspension & termination

We may suspend or terminate your access at any time, with or without notice, for any reason, including suspected fraud, chargeback abuse, breach of these Terms, or legal/regulatory requirements. On termination, your right to use the Services ends. Provisions that by their nature should survive (including payment obligations, disclaimers, limitations of liability, and indemnities) will survive.

17. Fraud, anti-money-laundering & sanctions

You must not use the Services to launder money, finance illegal activity, or evade sanctions. We may request identity or source-of-funds verification, place holds, refuse or reverse transactions, freeze balances, and report activity to authorities as required by law. You represent that you are not subject to applicable sanctions and are not located in a prohibited jurisdiction.

18. Changes

We may revise these Terms at any time by posting the updated version with a new "Last updated" date. Material changes may be notified in-app or by email. Your continued use after changes take effect constitutes acceptance.

19. Governing law & dispute resolution

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-laws rules.

We want to resolve concerns quickly and fairly. The parties agree to the following steps:

1. Direct resolution. First, contact us at support@sureboostapp.com and give us at least thirty (30) days to resolve the matter informally and in good faith.
2. Mediation. If still unresolved, the parties will attempt in good faith to settle the dispute by mediation administered in Lagos, Nigeria.
3. Arbitration or courts. If mediation does not resolve the dispute within a reasonable period, the dispute may be referred to arbitration under the Arbitration and Mediation Act 2023 (or equivalent applicable arbitration law), seated in Lagos, Nigeria, with one arbitrator and proceedings conducted in English; or either party may bring the dispute before the courts of Lagos State, Nigeria.

Nothing in this section prevents either party from seeking urgent injunctive or interim relief from a competent court, and nothing limits your right to bring a complaint before, or seek remedies from, a competent consumer-protection or data-protection authority, or a small-claims forum where available. These steps do not apply to the extent they are prohibited by a mandatory law that applies to you.

20. General

These Terms (with the policies incorporated by reference) are the entire agreement between you and us regarding the Services. If any provision is held unenforceable, the remainder remains in effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our consent; we may assign them freely. Nothing in these Terms creates a partnership, agency, or employment relationship. We are not liable for any failure or delay caused by events beyond our reasonable control (force majeure).

Electronic acceptance & communications

You agree that ticking the acceptance box, creating an account, or using the Services constitutes your electronic signature and binding acceptance of these Terms, and that electronic records and acceptances are admissible and enforceable. You consent to receive notices, disclosures, and other communications electronically (in-app, by email, or on this website), which satisfy any legal requirement that such communications be in writing.

Questions about these Terms may be sent to support@sureboostapp.com or via https://sureboostapp.com. To raise a complaint, email us with "Complaint" in the subject line and a description of the issue; we aim to acknowledge complaints within five (5) business days and to resolve them promptly.
